These Terms of Service ("Terms") govern your use of the IntentSignal website and services (the "Service") operated by IntentSignal ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

IntentSignal provides GTM data services including universe building, data hygiene, and activation delivery. Our Service includes:

  • Universe Gap Reports and sample deliveries
  • Install services (30-day universe build)
  • Continuity services (weekly sprints and maintenance)
  • Custom data sourcing and enrichment

3. User Accounts

When you create an account or submit information through our forms, you are responsible for:

  • Providing accurate and complete information
  • Maintaining the confidentiality of your account
  • All activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Interfere with the proper functioning of the Service
  • Attempt to gain unauthorized access to any systems

5. Data and Deliverables

5.1 Data Usage

Data delivered through our Service is licensed for your internal business use only. You may not resell, redistribute, or share deliverables with third parties without our written consent.

5.2 Accuracy

While we strive for accuracy, B2B contact data is inherently dynamic. We provide confidence scores and sourcing information, but cannot guarantee 100% accuracy of all records.

5.3 Compliance

You are responsible for ensuring your use of delivered data complies with applicable laws and regulations, including GDPR, CCPA, and CAN-SPAM.

6. Payment Terms

For paid services:

  • Install fees are due upon contract signing
  • Continuity fees are billed monthly in advance
  • All fees are non-refundable except as specified in our guarantee

7. Guarantee

We offer two guarantee options:

  • 14-day satisfaction: Cancel within 14 days if unsatisfied with deliverables
  • Coverage milestone: If agreed coverage targets aren't met by day 30, we continue working at no additional cost

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by IntentSignal and protected by intellectual property laws. Our methodology, processes, and tools remain our property.

9. Limitation of Liability

To the maximum extent permitted by law, IntentSignal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless IntentSignal from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Continued use of the Service after changes constitutes acceptance of new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
